These Terms of Service (“Terms”) govern your use of Nudgile — the collaborative sprint retrospective service available at nudgile.com, including our web application, API, MCP server, and command-line interface (together, the “Service”).
The Service is operated by Nudgile, a business based in the United Kingdom (“Nudgile”, “we”, “us”, “our”).
By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organisation, you confirm you have authority to bind that organisation, and “you” refers to both you and that organisation. If you do not agree to these Terms, do not use the Service.
1. Beta status
Nudgile is currently in beta and is provided free of charge during the beta period. This means:
- The Service is still under active development. Features may change, break, or be removed without notice.
- We may experience downtime, bugs, or data loss. While we take reasonable care (including backups), you should not treat Nudgile as your only copy of important information during the beta.
- We provide no service-level commitments or uptime guarantees during the beta.
- We may introduce paid plans in the future. If features you use become paid, we will give you reasonable advance notice, and you will never be charged without your explicit agreement.
- We may limit, suspend, or close the beta, or reset or migrate data, where reasonably necessary for development of the Service.
2. Your account
- You must provide accurate information when registering and keep it up to date.
- You must be at least 16 years old to use the Service.
- You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at support@nudgile.com if you suspect unauthorised access.
- If you sign in with Google, your use of Google sign-in is also subject to Google’s terms.
3. Personal access tokens, API, MCP, and CLI
The Service can be accessed programmatically via personal access tokens (“tokens”):
- You are responsible for all activity carried out with your tokens, including activity by AI agents, scripts, or CI jobs you configure.
- Keep tokens secret. Do not commit them to public repositories. We may automatically revoke tokens we detect as exposed (for example through GitHub’s secret-scanning programme) without notice.
- Apply the minimum scopes necessary, and revoke tokens you no longer need.
- We may apply rate limits or restrict API access to protect the Service.
4. Teams, boards, and content visibility
- Boards belong to teams. By joining a team or board, you understand that other members of that board can see its content.
- Notes may be displayed anonymously during certain phases of a retrospective and attributed to their author in later phases. Do not rely on phase-based anonymity for anything you would not want attributed to you.
- Team or board administrators may have controls over membership and content, including content you created.
5. Your content
- You (or your organisation, depending on your arrangements with them) retain all ownership rights in the content you create on the Service — boards, notes, votes, comments, and action items (“Content”).
- You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display your Content solely as needed to operate, provide, secure, and improve the Service — including generating the AI-powered insights that are part of the Service, and syncing action items to third-party tools you connect (such as Jira or Linear).
- We do not use your Content to train AI models.
- You are responsible for your Content and confirm you have the rights necessary to post it.
6. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, or to post content that is unlawful, defamatory, harassing, or infringes anyone’s rights (including privacy and intellectual property rights);
- attempt to gain unauthorised access to the Service, other users’ accounts, or boards you are not a member of;
- probe, scan, or test the vulnerability of the Service without our written permission, or interfere with its operation (including by circumventing rate limits or sending malicious payloads via the UI, API, MCP server, or CLI);
- misuse the Service to send spam, distribute malware, or scrape data at scale;
- resell, sublicense, or provide the Service to third parties as a service bureau without our agreement; or
- use the Service in violation of applicable export control or sanctions laws.
We may remove content or suspend accounts that we reasonably believe breach this section.
7. Third-party services
The Service can connect to third-party services such as Google (sign-in) and Jira or Linear (action item sync). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and you can disconnect integrations at any time.
8. Our intellectual property
The Service — including its software, design, branding, and documentation, but excluding your Content — is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law.
Any feedback you give us about the Service may be used by us without restriction or obligation to you.
9. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.
10. Suspension and termination
- By you: you may stop using the Service and delete your account at any time.
- By us: we may suspend or terminate your access if you materially breach these Terms, if required by law, or — during the beta — if we discontinue the Service. Where practical, we will give you notice and an opportunity to export your Content.
- On termination, sections that by their nature should survive (including sections 5, 8, 11, 12, and 14) will survive.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law. AI-generated insights are produced automatically and may be inaccurate or incomplete; they are an aid to your team’s judgement, not a substitute for it.
Nothing in these Terms affects any statutory rights you may have as a consumer that cannot be excluded or limited by law.
12. Limitation of liability
Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under the law of England and Wales.
Subject to the above:
- we are not liable for any loss of profits, revenue, business, goodwill, or data, or for any indirect or consequential loss, arising out of or in connection with the Service;
- given that the Service is provided free of charge during the beta, our total aggregate liability to you arising out of or in connection with the Service is limited to £100.
13. Changes to these Terms
We may update these Terms from time to time, particularly during the beta. We will post the updated Terms on this page with a revised “Last updated” date and, for material changes, give you notice by email or in-app message. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service.
14. General
- Governing law and jurisdiction: these Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute — except that if you are a consumer, you may benefit from mandatory protections and bring proceedings in your country of residence within the UK.
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability: if any provision is found unenforceable, the rest remain in effect.
- No waiver: our failure to enforce a provision is not a waiver of it.
- Assignment: you may not transfer your rights under these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
